1. About these terms
These Terms & Conditions apply to all proposals, quotations, assignments and services provided by Rick Bierman Designs, unless something different has been agreed in writing. They are intended primarily for clients acting in the course of a business or profession. If a client is legally considered a consumer, any mandatory consumer rights remain unaffected. If a proposal or written agreement conflicts with these terms, the proposal or agreement takes priority.
2. Services and project scope
Rick Bierman Designs provides services including brand strategy, visual identity, creative direction, communication design, UI/UX design, website design and development, and related digital or print deliverables. The exact scope, deliverables, timeline and price of each project will be described in a proposal, quotation or other written agreement. An agreement begins when the client accepts a proposal in writing, confirms it by email or clearly instructs Rick Bierman Designs to begin the work.
3. Client responsibilities
The client is responsible for providing accurate information, content, feedback, approvals, access credentials and other materials needed to complete the project. The client confirms that they have permission to use all text, images, trademarks and other materials they provide. Delays in receiving content, feedback or approval may affect the project timeline. If a project remains inactive for an extended period, it may be paused and rescheduled according to availability.
4. Timelines and feedback
Project timelines are estimates unless a fixed deadline has been explicitly agreed in writing. Timely and clear feedback is essential. Feedback should be collected from all relevant decision-makers and submitted as one coordinated response wherever possible. Rick Bierman Designs is not responsible for delays caused by late feedback, missing materials, third-party suppliers, technical dependencies or circumstances outside reasonable control.
5. Fees and payment
All prices are stated in euros and exclude VAT and third-party costs unless stated otherwise. Unless a proposal specifies a different payment schedule, projects require: 60% before work begins 40% before final files are delivered or the website is launched Invoices must be paid within 14 days unless another payment term is shown on the invoice. If an invoice is overdue, Rick Bierman Designs may pause the project and withhold deliverables until payment has been received. Statutory commercial interest, collection costs and other legally permitted charges may also apply.
6. Revisions and additional work
The project fee includes only the deliverables and revision rounds stated in the proposal. Requests that change the approved direction or fall outside the agreed scope may be treated as additional work. This can include extra concepts, pages, features, formats, revision rounds or changes to previously approved work. Additional work will be discussed before it is carried out and may affect both the price and timeline.
7. Third-party costs and services
Projects may use third-party services such as hosting, plugins, fonts, stock imagery, printing, domain names, software or external platforms. Unless explicitly included in the proposal, these costs are paid by the client. Third-party licenses remain subject to the provider’s own terms. Rick Bierman Designs is not responsible for changes, downtime, price increases, restrictions or discontinued features caused by third-party services.
8. Cancellation, suspension and termination
Either party may end a project by providing written notice. If the client ends or indefinitely pauses a project, they remain responsible for all work completed, time reserved and external costs incurred up to that point. Any advance payment will be applied to these amounts and is not automatically refundable. Rick Bierman Designs may suspend or terminate a project if invoices remain unpaid, required input is repeatedly withheld or the working relationship makes reasonable completion impossible. After termination, no unfinished or unpaid work may be used by the client.
9. Delivery and approval
The client is responsible for reviewing all work before final approval, production or publication. Any visible errors or defects should be reported within 14 days of delivery. Rick Bierman Designs will correct work that does not match the agreed scope. Requests based on a new preference or a changed brief are considered revisions or additional work. Approval by email, message, publication, production or use of the work will be treated as acceptance of the relevant deliverable.
10. Intellectual property
Concepts, drafts, strategies, designs, code and other project materials remain the property of Rick Bierman Designs until all related invoices have been paid. After full payment, the client receives the usage or ownership rights to the final approved deliverables described in the proposal. Unused concepts, working files, methods, templates and reusable tools remain the property of Rick Bierman Designs. Editable source files are included only when explicitly stated. Third-party materials remain subject to their original licenses and cannot be transferred beyond the rights granted by their owner.
11. Websites, hosting and maintenance
Unless ongoing maintenance has been agreed, the client becomes responsible for the website after handover. This includes hosting, backups, security, software updates, content, third-party subscriptions and future compatibility. Websites are tested in current major browsers and devices at the time of delivery. Rick Bierman Designs cannot guarantee continued compatibility with future browser, platform, plugin or software changes. Changes made by the client or another supplier after handover fall outside the original project and may affect the website’s design, functionality, security or performance.
12. Business results
Strategy and design can improve clarity, trust and the way a business presents itself, but specific commercial results cannot be guaranteed. Rick Bierman Designs does not guarantee revenue, sales, enquiries, conversion rates, search rankings or other business outcomes. These results are also influenced by the client’s offer, market, pricing, traffic, sales process and implementation.
13. Portfolio use and confidentiality
Rick Bierman Designs may display completed work, the client’s name and a general project description in portfolios, case studies, social media, award submissions and promotional material. Confidential or unreleased information will not be published without permission. If a project must remain private, this should be agreed in writing before work begins.
14. Liability
Rick Bierman Designs is only liable for direct damage caused by a proven failure to perform the agreed services. Where legally permitted, total liability is limited to the amount paid for the part of the project connected to the claim. Rick Bierman Designs is not liable for indirect or consequential damage, lost revenue, lost profits, loss of data, reputational damage, missed opportunities or failures caused by third-party platforms, hosting providers, software or materials supplied by the client. Nothing in these terms excludes liability where doing so would be prohibited by law.
15. Force majeure
Neither party is responsible for delays or failure caused by circumstances reasonably outside their control. This may include illness, outages, cyber incidents, supplier failures, government measures, natural events or widespread technical disruption. If such circumstances continue for an extended period, either party may end the affected part of the agreement. Work already completed and costs already incurred remain payable.
16. Use of this website
The information on this website is provided for general information and portfolio purposes. Rick Bierman Designs aims to keep the website accurate and available but cannot guarantee that every page will always be complete, current or free from errors. Links to external websites are provided for convenience. Rick Bierman Designs does not control and is not responsible for their content, availability or privacy practices.
17. Governing law and disputes
These terms and all agreements with Rick Bierman Designs are governed by the laws of the Netherlands. If a disagreement arises, both parties will first try to resolve it directly and in good faith. If that is unsuccessful, the dispute will be submitted to the competent court in the Netherlands, unless mandatory law requires otherwise.
18. Changes to these terms
Rick Bierman Designs may update these terms for future projects. The version provided or made available when an agreement is accepted remains applicable to that agreement unless both parties agree to a change in writing. If one part of these terms is found to be invalid or unenforceable, the remaining provisions continue to apply.
